Terms of sale and use

Version of 19 October 2026

This is a translation provided for convenience. The French version prevails in case of discrepancy. Read the French version

1. Purpose and acceptance

These terms govern access to the Le Frac online software (the “Service”), provided by EDJ XTECH LAW SCHOOL, S.L. (“we”) to its customers (the “Customer”). They are accepted when the account is created and prevail over any other document, unless otherwise agreed in writing.

The Service is for businesses acting for the purposes of their trade only. Consumer law provisions therefore do not apply.

2. Description of the Service

The Service allows the Customer, among other things, to issue and receive invoices, send payment reminders, collect payments online and follow cash flow. Available features depend on the company’s country and are described on the Features page and, country by country, in the website guides. A feature announced as “coming soon” is not owed until it is open.

E-invoices are transmitted through a third-party platform (in France, a platform approved by the tax authority). Its terms apply in addition.

3. Account and access

The Customer warrants that the information provided (company identity, tax identifiers, bank details) is accurate. It is responsible for keeping its users’ access credentials confidential and for actions taken from its account.

4. Subscription and private beta

The Essentiel, TPE and PME plans are subscribed online, with no free trial period: payment is made by card or SEPA Direct Debit when subscribing, for the first period (month or year; the Essentiel plan is subscribed yearly only), then at each renewal (section 6). The subscription carries no commitment beyond the period subscribed and can be terminated at any time (section 7).

Pilot companies admitted to the private beta by invitation use the features open in their country free of charge for the whole beta, in exchange for their feedback. We notify them at least 30 days before the beta ends; they then freely choose to subscribe, at the announced founder price, or to leave with their data.

5. Prices

Prices are those on the Pricing page on the day of subscription, in euros excluding taxes. VAT follows the rules that apply to a supplier established in Spain (Spanish VAT, reverse charge by the customer, or outside the scope of Spanish VAT); the treatment is shown before payment and appears on the invoice. The Enterprise plan is quoted separately.

We may change our prices. Any increase is announced at least 30 days in advance and applies from the next renewal; the Customer may terminate before that date.

6. Payment

The subscription is payable in advance, monthly or yearly, using the means offered by our payment provider (Stripe). An invoice is issued for each period.

If payment is late, we may, after a reminder left unanswered for 15 days, suspend access to the Service (data remains stored and exportable). Late payment interest and a fixed recovery fee of €40 may be due under the applicable law.

7. Term, renewal and termination

The monthly subscription has no minimum term; the annual subscription is for one year. Both renew automatically for the same period.

The Customer can terminate at any time from its account: termination takes effect at the end of the paid period, without refund of the current period.

Either party may terminate in the event of a serious breach by the other not remedied 30 days after formal notice. We may immediately suspend an account used fraudulently or unlawfully.

8. Customer obligations

The Customer remains responsible for the content of its invoices and reminders, for complying with its tax and accounting obligations (mandatory details, retention, returns) and for the lawfulness of the data it imports. The Service helps but does not replace its accountant or adviser.

The Customer shall not use the Service unlawfully, attempt unauthorised access or deliberately overload the Service.

9. Availability

We use our best efforts to keep the Service available and working properly, without any service level guarantee (no SLA). Interruptions may occur for maintenance, announced in advance where possible, or when a provider fails (host, invoicing platform, bank).

10. Liability

We are liable only for proven fault. Our liability is limited to direct damage and, for all damage combined, to the amount paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim. Indirect damage (loss of revenue, customers, or data not backed up by the Customer) is excluded. These limits do not apply in case of gross negligence or wilful misconduct, or where the law prohibits them.

11. Customer data

The Customer remains the owner of the data it records in the Service. For the personal data it contains, we act as a processor within the meaning of Article 28 GDPR: the data processing agreement (DPA) forms an integral part of these terms.

12. Export and reversibility

The Customer can export its data at any time from the application: invoices as PDF and in their electronic format, customer lists and reports as CSV, accounting entries.

After the subscription ends, the account remains available for reading and export for 30 days. Data is then deleted, except data we must keep under a legal obligation, and unless the Customer asked us for earlier deletion.

13. Intellectual property

The software, its documentation and the brand remain our property. The Customer has a personal, non-exclusive, non-transferable right of use for the term of the subscription.

14. Confidentiality

Each party keeps confidential the other’s non-public information it learns during the contract, for its term and five years after.

15. Changes to the terms

We may change these terms. The Customer is notified at least 30 days before a significant change takes effect and may terminate free of charge before that date.

16. Governing law and disputes

These terms are governed by Spanish law, the law of the country where the service provider is established (Regulation (EC) No 593/2008 “Rome I”, Art. 4).

Disputes fall within the jurisdiction of the courts determined by Regulation (EU) No 1215/2012.

Before any action, the parties seek an amicable solution for 30 days from the written complaint of either of them.
